Agent Agreement

Read This First

If you wish to apply to become a referral agent for the University’s degree programs, please carefully read the Agreement below. If the Agreement is acceptable to you, please complete and submit the form above.

Important: This Agreement is not valid unless and until the University accepts your application to become an agent, and assigns an Agent Code as described in the Agreement.

Note: We are not accepting new referral agents in Ethiopia, Nepal or Bangladesh at this time. Current University students and employees are not eligible to become Agents.
Upon execution of this Agreement by the party entered below (‘Agent’) and acceptance by Maharishi International University (‘the University’), Agent is authorized to act as a non-exclusive referral agent to refer prospective international students for all programs that are on the university website.

1. Written Authorization

This Agreement will not be valid unless and until the University accepts the Agreement by giving written authorization to Agent, and assigning the Agent Code described in the ‘3. Regarding the tuition reduction’ section below.

2. Definition of International Students

This Agreement applies only to international students, defined as individuals who are not a United States citizen or permanent resident; who are accepted and enrolled in one of the Programs at Maharishi International University; and who have fully paid all charges required at the time of registration.

3. Regarding the Agent Fee

The University will pay to Agent a finder’s fee for each international student who is initially introduced to the University by Agent after the date of this Agreement and who pays the tuition fee to the university. The finder’s fee will be:

For professional programs:

  • US $750 for each student in the MBA Accounting / SAP Finance Professionals Program.
  • The $1,000 for each student in the M.S. in Computer Science / Computer Professionals Program applies to the first 12 students referred per agent in one entry. Any additional referral will be awarded $500.

For any other program (Undergraduate, Graduate, Postgraduate, Certificate in Regenerative Organic Agricultureonline, ESL):

On campus

  • 12% of the student’s tuition payment for the first year. The first finder’s fee will be paid after the third month from the date of the student’s enrollment.
  • 12% of the student’s first tuition payment for English as a Second Language (ESL) Program. The first finder’s fee will be paid after the third month from the date of the student’s enrollment.

Online

  • 12% of the student’s first semester payment. The finder’s fee will be paid three months after MIU receives this first payment.

IMPORTANT: The amount of paid tuition can vary depending on the amount of the scholarship provided by MIU.

4. Regarding the Tuition Reduction

The University will provide Agent with a unique Agent Code. To be eligible for the finder’s fee, Agent’s applicants must enter the Agent Code on the online application when applying. As an incentive for the applicants to enter the Agent Code, the University will give a tuition reduction of US $100 to all students who enter a valid Agent Code when applying. This does not apply to students applying for online or ESL program.

The University will pay the applicable fee for each enrolled student within 30 days after the student has been enrolled for three months and has paid in full all required charges.

For the MS in Computer Science program, the University will pay the applicable fee for each student enrolled within 30 day after the student has been enrolled for three months, and has successfully passed the CS 401 (Modern Programming Practices) prerequisite course, and has paid in full all required charges.

The University will pay only one fee per enrolled student. In the event that two agents claim the same prospective student, the University will pay the fee to the agent whose code was first given to the University by the applicant.

5. Service Fees

The Agent may charge ‘optional’ service fees to the applicants, but the applicant must be given a form in writing that states what the fees are, and that the fees are optional. The applicant will sign the form and return to the Agent. This form must be available for MIU to review at any time. In the event that Agent violates this, the University is authorized to immediately terminate this Agreement, and pay no fees to the Agent.

6. Highest Ethical Standards

Agent agrees to uphold the highest ethical standards and dignity when informing prospective students about the University and its programs. Agent will not misrepresent the University, its programs, policies, financial aid, etc., and will refer prospective students to the University website and to the Admissions Office to answer any questions the prospective students may have on these matters. Agent will comply fully with all laws and regulations of his or her home country.

7. Independent Contractor

It is understood that: (1) Agent is an independent contractor; (2) Agent is not acting in any way as a representative of the University; and (3) Agent has no authority to enter into written or oral agreements on behalf of the University. All expenses incurred by Agent will be the sole responsibility of Agent.

8. Term of Agreement

The term will be two years from the date of this Agreement. The term must be renewed in every 2 years. This agreement can be terminated by any side, any time, without a cause by giving thirty (30) days prior written notice to the other. Should Agent or the University terminate this Agreement (for reasons other than violation of the confidentiality, non-compete, non-interference, or other material provisions of this Agreement), the University will nonetheless pay all fees due to Agent at the time of termination, according to the schedule set forth above.

9. Claims and Warranties

The University makes no claims or warranties of any kind other than those, if any, expressly included in the University’s websites, written literature, and executed contracts. Agent agrees that any claims or warranties of any kind, or any advertisement of the University’s programs, must be approved in writing by the University’s Admissions Office prior to dissemination by Agent. Agent agrees to indemnify and hold the University harmless from any liability or claims as well as reasonable attorney’s fees and other expenses incurred in preparing for or defending against any action or legal proceeding in which the University become involved as a result of any claims, warranties, or other representations or acts of Agent in violation of the provisions of this Agreement.

10. Modification of Agreement

The latest online version of the Agreement is the valid one. Maharishi International University can change the online Agreement any time without consulting any agent.

11. Integration Clause

This Agreement encompasses the entire agreement of the parties and supersedes all previous understandings and agreements between the parties, whether oral, electronic or written.

12. Non-Reliance

The parties acknowledge and represent that they have not relied on any representation, assertion, guarantee, warranty, collateral contract or other assurance, except those set out in this Agreement and that the parties have had an opportunity to conduct their own due diligence, consult with their own legal counsel and rely exclusively on their own due diligence sources.

13. Dispute Resolution

All disputes arising out of or in connection with the present contract shall be submitted to the International Court of Arbitration of the International Chamber of Commerce and shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

14. Confidentiality

The terms of this Agreement will be kept confidential by Agent, who will also treat as privileged and confidential all non-public information about the University, including its students, methods, strategies, and financial information which may be disclosed to Agent as a result of this Agreement. Agent will use any such information exclusively in furtherance of this Agreement and not for any other purpose. No such confidential information may be disclosed by Agent without the prior written consent of the University.

15. Non-Compete, Non-Interference

Agent agrees not to compete with the University for its students, including those who were introduced to the University by Agent, nor to interfere with or induce students to breach, terminate, or end their student relationship with the University. The confidentiality, non-compete, and non-interference provisions in this Agreement will survive any termination of this Agreement. In the event Agent violates any of the provisions anywhere in this Agreement, the University may at its sole discretion terminate this Agreement immediately, discontinue payment of all fees to Agent, and pursue any further recourse allowed by law.

16. Agreement Expiration Policy

This Agent Agreement is valid for 2 years. The Agreement will be automatically terminated if within 2 years you have not been an active MIU Agent. Being active is measured by your productivity as an Agent. In case we approve you as an Agent, you will receive an email from our Agent Program Office with your goals for the next two years.

17. Training, Questions and Answers
